OFFICIAL RULES

This New York Yankees® #LuvoNYY (“Sweepstakes”) is sponsored by Luvo USA, LLC (“Sponsor” or “Luvo”) and is governed by these official rules (“Official Rules”). By participating in the Sweepstakes, each entrant agrees to abide by these Official Rules, including all eligibility requirements, and understands that the results of the Sweepstakes, as determined by Sponsor and its agents, are final in all respects. The Sweepstakes is subject to all federal, state, provincial and local laws and regulations and is void where prohibited by law.

ELIGIBILITY

The Sweepstakes is open to legal U.S. Residents who are eighteen (18) years of age or older (except in the case of legal residents of certain states where the legal age of majority is greater than eighteen (18) years of age, such legal age of majority) at the time of entry. Sponsor has the right to verify the eligibility of each entrant. No purchase or payment of any kind is necessary to enter or win. Employees, representatives or agents of Sponsor and its subsidiaries and affiliates, media partners and advertising and promotional agencies, the MLB Entities and persons with whom any of the aforementioned are domiciled are not eligible to enter the Sweepstakes. The “MLB Entities” shall mean the Office of the Commissioner of Baseball (“BOC”), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P., Major League Baseball Enterprises, Inc., Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs (“Clubs”), each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities. 

SWEEPSTAKES PERIOD

The Sweepstakes begins on June 10, 2015, at 6:00 PM Pacific Time (“PT”) and ends on September 21, 2015, at 11:59 PM PT (“Sweepstakes Period”). For eligibility, all entries (submissions) must be received during the Sweepstakes Period.

HOW TO ENTER

NO PURCHASE IS NECESSARY.

During the Sweepstakes Period, you can enter the Sweepstakes by sharing an in-store photo of any Luvo product on Twitter or Instagram along with the hashtag #LuvoNYY.

Twitter or Instagram: To enter, you must (1) have a valid, public Instagram or Twitter account, as applicable, and take a photo of any Luvo products in your local grocery store and share it on Twitter or Instagram with the hashtag #LuvoNYY pursuant to the (a) Photo Entry Rules, and (b) the Instagram Terms of Use available at http://instagram.com/about/legal/terms/or the Twitter Terms of Service and Twitter Rules available at www.twitter.com, as applicable. Only publicly viewable images on Twitter and Instagram containing the hashtag will be considered valid entries. After submitting your photo with #LuvoNYY, you will receive one (1) entry into the Sweepstakes. If you do not have an Instagram account, visit www.Instagram.com or download the free Instagram application and register in accordance with the enrollment instructions for a free Instagram account. If you do not have a Twitter account, visit www.twitter.com and register in accordance with the enrollment instructions for a free Twitter account.

Each time an entrant submits a valid entry during the Sweepstakes Period, the entry is entered into the Sweepstakes. There is a maximum of one (1) entry per day per person, regardless of method of entry. You may, however, enter by one method of entry on as many days as you wish during the Sweepstakes Period. All information submitted via Twitter and Instagram that is shared with Sponsor per entrant’s account will be treated in a manner consistent with, Luvo’s Privacy Policy accessible at: https://luvo.nicksnyder.is/privacy-policy/. 

PHOTO ENTRY RULES

Your photo entry must:

1. be an in-store photo of a Luvo Product;
2. be posted directly to your personal Twitter or Instagram feed and include the hashtag #LuvoNYY;
3. be your original creation, and be a photograph taken solely by you. Reproducing, modifying, enhancing or altering a third party’s pre-existing work does not qualify as your original creation;
4. not violate the rights of any third party, including, but not limited to copyright. For example, your photo entry must not defame, infringe or violate publicity or privacy rights of any person, living or deceased, or otherwise infringe upon any person’s, entity’s or organization’s personal or proprietary rights, including but not limited to, intellectual property rights;
5. not have been published previously, used commercially, submitted to another competition or contest, or won any other award;
6. be in “good taste” and in keeping with the Luvo brand image and must not be explicit or offensive, as determined by Luvo, in its sole and absolute discretion;
7. not contain any commercial content that promotes any product or service;
8. not be false, inaccurate or misleading;
9. not violate any law, rule or regulation;
10. not be libelous, threatening or harassing;
11. not instigate others to commit illegal activities or violate human rights; and
12. not contain any viruses, worms, or other interfering computer programming (collectively, “Photo Entry Rules”).

You must warrant that your photo entry meets the Photo Entry Rules, set out above. Luvo reserves the right to deem ineligible and exclude from the Sweepstakes any photo entry that Luvo determines, in its sole and absolute discretion, violates the Photo Entry Rules.

Your right to submit a photo entry must not be restricted in any way. You must be able to provide legal releases for use of your photo entry by Luvo in any format, and materials related to the Sweepstakes, including in relation to any third party’s name, likenesses or work (“Third Party Elements”) included in your photo entry. 

LUVO’S RIGHT TO USE PHOTO ENTRY

You acknowledge that your photo entry will immediately appear in your Twitter feed or Instagram application after it is posted and may appear in other electronic and print materials related to the Sweepstakes, including promotional materials. By posting a photo using the designated Sweepstakes hashtag, you irrevocably, perpetually, unconditionally and without limitation, grant Luvo and the applicable MLB Entities the right to use, publish, adapt, sub-license, transmit, distribute, exhibit, edit, dispose of, and/or modify such photo entry and the concepts and Third Party Elements embodied therein in any way, in commerce, and in any and all media worldwide in electronic and print materials related to the Sweepstakes, and waive all your rights, including moral rights, in the photo entry, without notice or compensation, and agree that you may be required to sign a release to that effect.

Any attempt or suspected attempt to use robotic, automatic, programmed, or otherwise, illicit means to enter the Sweepstakes, or any other methods not authorized by these Sweepstakes Rules, for example, but not limited to, creating multiple Twitter accounts, shall be deemed as tampering and may disqualify you from entering, participating, winning prizes (defined herein), and preclude you from participating in future sweepstakes, contests and promotions, at the sole and absolute discretion of Luvo. Entries that are late, lost, stolen, illegible, contain false information, are damaged, misdirected, mutilated, garbled or incomplete, altered or otherwise irregular or that do not conform with or satisfy any or all of the conditions these rules will be judged void. All entries become the property of Luvo upon receipt and none will be returned. Proof of transmission (screenshots or captures, etc.) does not constitute proof of receipt.

PRIZES

One Hundred Twenty-Five (125) Prizes To Be Awarded (i.e., five (5) per Drawing Date). Each prize winner will receive four (4) [Jim Beam Suite] tickets for winner and three (3) guests for one (1) 2015 New York Yankees regular season home game scheduled to be played on the applicable date set forth in the table below. (Approximate Retail Value of each prize: $220.00.) TRANSPORTATION TO/FROM THE GAME AND LODGING NOT INCLUDED. Tickets will be available for Winner to pick up at Yankee Stadium Will Call.

Terms and conditions may apply. Incidental expenses and all other costs and expenses which are not specifically listed as part of a prize in these Official Rules and which may be associated with the award, acceptance, receipt and use of all or any portion of the awarded prize are solely the responsibility of the respective prize winner. ALL FEDERAL, STATE, PROVINCIAL AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE IS SOLELY THE RESPONSIBILITY OF THE WINNER. Sponsor reserves the right to substitute the prize (or any portion thereof) with a prize of comparable or greater value at its sole and absolute discretion. TRANSPORTATION TO/FROM THE GAME AND LODGING NOT INCLUDED. Seat locations at the game shall be determined in the sole and absolute discretion of Sponsor. Each winner’s companions must be of legal age of majority in their jurisdictions of residence (and at least eighteen (18) years of age), unless accompanied by a parent or legal guardian. Major League Baseball game, event and exhibition dates and times are determined in the sole and absolute discretion of the Office of the Commissioner of Baseball and/or the applicable Major League Baseball Club, as applicable, and may be subject to change. Rosters and Lineups are subject to change without notice. The terms and conditions of the tickets awarded as part of the prize will govern in the event a legal game, event or exhibition, as defined by Major League Baseball, is not played due to weather conditions, an act of God, an act of terrorism, civil disturbance or any other reason. Each winner and his/her guest(s) agree to comply with all applicable ballpark regulations in connection with the prize. Sponsor and the applicable MLB Entities reserve the right to remove or to deny entry to any winner and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game, event or exhibition. Released Parties (as defined below) will not be responsible for weather conditions, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control that may cause the cancellation or postponement of any Major League Baseball game, event or exhibition. Major League Baseball game, event and exhibition tickets awarded as prizes may not be resold or offered for resale. Any such resale may result in disqualification and prize forfeiture, and may invalidate the license granted by the game, event or exhibition ticket(s). No tickets given as prizes may be used for advertising, promotions of any kind (e.g., self-promotions, product promotions, ticket promotions, business promotions and/or commercial promotions) or any other commercial purposes, including, without limitation, contests, auctions, sweepstakes or giveaways, without the express written consent of the New York Yankees, which reserves the right to cancel, not honor, confiscate or request the return of any ticket that it reasonably suspects has been used for advertising, promotional (including contests, giveaways or sweepstakes) or other trade or commercial purposes without such express prior written consent.

RANDOM DRAWINGS FOR THE PRIZES

Each time an eligible entrant submits a valid entry during the Sweepstakes Period, the entry is entered into the Sweepstakes. The potential winners of the Sweepstakes will be selected by random drawing (“Drawing”) on or about the dates set forth in the table below (each, a “Drawing Date”). Each Drawing will be done by random selection from among the eligible entries received as of 11:59 PM PT the date prior to the applicable Drawing Date (each, a “Drawing Date Deadline”).Subject to verification of eligibility and compliance with the terms of these Official Rules, the potential winners will be declared the official winners of the Sweepstakes. All non-winning eligible entries from one Drawing will automatically carry-over to and remain eligible for subsequent Drawing(s), if any. Limit one (1) Prize per person, family or household during the entire Sweepstakes Period. Odds of winning Prize will depend on the number of eligible entries received as of the applicable Drawing Date Deadline.

CLAIMING OF PRIZE

In order to be declared a winner and be able to claim a prize, each of the potential winners will be contacted within two (2) calendar days of the applicable Drawing Date by the Sponsor or one of its agents or representatives and must confirm acceptance as a selected entrant within two(2) calendar days of contact. If a potential winner cannot be contacted, is determined to be ineligible or declines the prize for any reason, such potential winner will be disqualified and, time permitting and at Sponsor’s discretion, another potential winner will be selected by way of random drawing from among all remaining eligible entries received as of the applicable Drawing Date Deadline. Upon the request of the Sponsor, the potential winner may be required to return an Affidavit of Eligibility, Release and Prize Acceptance Form. If a potential winner fails to comply with these official rules, that potential winner will be disqualified.

In the event of dispute as to the identity or eligibility of any potential winner based on an Instagram or Twitter account, the winning entry will be declared made by the “Authorized Instagram Account Holder” or the “Authorized Twitter Account Holder,” as applicable, of the Instagram or Twitter account that submitted the Entry at the time of entry provided he/she is eligible according to these Official Rules. The “Authorized Instagram Account Holder” and “Authorized Twitter Account Holder” are defined as the natural person assigned to the applicable Instagram or Twitter account by Instagram or Twitter.com, respectively.

ADDITIONAL LIMITATIONS

The prizes are non-transferable and non-assignable. No substitution or cash equivalent of prizes is permitted. Sponsor, the MLB Entities, Instagram, Twitter and each of their respective parent, affiliate and subsidiary companies, agents, and representatives are not responsible for any typographical or other errors in the offer or administration of the Sweepstakes, including, but not limited to, errors in any printing or posting or these Official Rules, the selection and announcement of any winner, or the distribution of any prize. Any attempt to damage the content or operation of this Sweepstakes is unlawful and subject to possible legal action by Sponsor. Sponsor reserves the right to terminate, suspend or amend the Sweepstakes, without notice, and for any reason, including, without limitation, if Sponsor determines that the Sweepstakes cannot be conducted as planned or should a virus, bug, tampering or unauthorized intervention, technical failure or other cause beyond Sponsor’s control corrupt the administration, security, fairness, integrity or proper play of the Sweepstakes. In the event any tampering or unauthorized intervention may have occurred, Sponsor reserves the right to void suspect entries at issue. Released Parties and any telephone network or service providers are not responsible for incorrect or inaccurate transcription of entry information, or for any human error, technical malfunction, lost or delayed data transmission, omission, interruption, deletion, line failure or malfunction of any telephone network, computer equipment or software, the inability to access any website or online service or any other error, human or otherwise. Entrants agree to be bound by all decisions of the Sponsor regarding the Sweepstakes, which shall be final and binding in all respects.

RELEASE, INDEMNIFICATION AND LIMITATION OF LIABILITY

By entering the sweepstakes, each entrant agrees to indemnify, release, defend and hold harmless sponsor, the MLB entities, Facebook, Twitter, Instagram, advertising and promotional agencies associated with this sweepstakes, and each of their respective officers, directors, employees, representatives and agents (“released parties”) from any liability, damages, losses or injury resulting in whole or in part, directly or indirectly, from that entrant’s participation in the sweepstakes and the acceptance, use or misuse of any prize that may be won. Released parties do not make any warranties, express or implied, as to the condition, fitness or merchantability of the prize. Released parties disclaim any liability for damage to any computer system resulting from access to or the download of information or materials connected with the sweepstakes. The MLB Entities will have no liability or responsibility of any claim arising in connection with participation in this Sweepstakes or any tickets awarded as a prize. Released Parties make no representations or warranties of any kind concerning the appearance, performance or safety of any prize awarded.

PUBLICITY

Except where prohibited by law, each entrant grants Sponsor and the applicable MLB Entities the irrevocable, sub-licensable, absolute right and permission to use, publish, post or display such winner’s name, photograph, likeness, statements, biographical information, voice, city and state address, prize information, any quotes attributable to him or her and any other indicia of persona (regardless of whether altered, changed, modified, edited, used alone, or used with other material in Sponsor’s or MLB Entities’ sole and absolute discretion) for any purpose, including but not limited to advertising, trade, promotional and publicity purposes on a worldwide basis, and in all forms of media now known or hereafter devised, in perpetuity, without further authorization, opportunity to review, approval, notification, or compensation of any kind and each entrant releases Sponsor and the MLB Entities from any and all liability related thereto. Nothing contained in these Official Rules obligates Sponsor or the MLB Entities to make use of any of the rights granted herein and each winner waives any right to inspect or approve any such use.

DISPUTES; GOVERNING LAW.

Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Entrants waive all rights to trial in any action or proceeding instituted in connection with these Official Rules and/or the Sweepstakes. Any controversy or claim arising out of or relating to these Official Rules and/or the Sweepstakes shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of Illinois. THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF ILLINOIS WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES.
